Terms of Service — Noctis Network

Acceptance

By accessing noctisnetwork.com, purchasing a membership, or using the affiliate platform or advertiser portal, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the platform.

Who these terms cover

These terms apply to members (paid subscribers), affiliates (people promoting offers), and advertisers (agencies/creators using the portal). Some sections apply only to one group, as noted.

Eligibility

You must be at least 18 years old (or the age of majority where you live).
All affiliates must be 18 or older. Promoting offers on Noctis is restricted to adults. We may require proof of age and will suspend or terminate any account we believe is operated by a minor, with forfeit of pending earnings.
You must have the legal right to send the traffic and create the content you do.
Noctis may decline or revoke any application or account at our sole discretion. Affiliate applications under review are capped at a $1,000 lifetime payout until approved.

Membership, billing & cancellation

A paid membership is a recurring subscription billed in advance at the price shown at checkout (currently monthly). By subscribing you authorize Noctis and Stripe to charge your payment method each cycle until you cancel.
It renews automatically until cancelled. You can cancel anytime; cancellation stops future renewals and takes effect at the end of the current paid period.
To cancel or change your plan, use your account or email partners@noctisnetwork.com.
Prices and features may change; we’ll give notice of changes that affect your renewal price.

Refunds & the money-back guarantee

Except where required by law, membership fees are generally non-refundable once a billing period has started. Where we advertise a specific guarantee (e.g. a 30-day money-back guarantee), that guarantee applies on the terms stated in the offer and may require that you actually used the program in good faith during the period. To make a request, contact partners@noctisnetwork.com within the stated window. Initiating a chargeback instead of contacting us may result in account termination.

Earnings disclaimer

Noctis is not a get-rich-quick scheme and we make no guarantee of income or results. Any figures, examples, or testimonials are illustrative, not promises. What you earn depends on your effort, consistency, market conditions, and factors outside our control. Many participants earn little or nothing.

Acceptable use & content

You are solely responsible for the content you create and post (including AI-generated content) and for complying with the terms, rules, and laws of every platform and place you post.
You must have all rights and consents for any likeness, voice, footage, or assets you use. No content depicting or implying minors, non-consent, or anything illegal — ever.
No fraud, deceptive claims, impersonation of creators or of Noctis, malware, scraping, or attempts to disrupt or reverse-engineer the platform.
We may remove content, links, or accounts that violate these terms or that create legal or reputational risk, at our discretion.

Affiliate traffic quality

No fraud. Self-clicks, bot traffic, incentivized subs, and motivated conversions are grounds for immediate termination and forfeit of pending earnings.
No misrepresentation. You may not impersonate creators or imply official affiliation beyond the advertiser-affiliate relationship.
Platform compliance. You’re responsible for following the terms of every traffic source you use (Instagram, TikTok, YouTube, paid networks, etc.).

Payouts (affiliates)

Commissions clear after a 7-day chargeback window, then batch into the next wire cycle (typically weekly).
Chargebacks reverse the corresponding commission. Negative balances net against future positive commissions until cleared.
We pay in USD by wire by default. Crypto, Paxum, and Capitalist may be available on request.
You’re responsible for any taxes owed on your earnings. We’re not your tax advisor.

Advertisers

You represent that you own or are authorized to manage the creator accounts and offers you submit, and that your offer terms (commission rates, etc.) are accurate.
Offers are subject to our review and approval. Billing for affiliate conversions is post-pay per the invoices and wire instructions we provide; amounts are due as stated on each invoice.
You’re responsible for the conduct of your connected accounts and for complying with the terms of any third party you connect (including OnlyFans and OnlyFansAPI).

Third-party services

The platform integrates third parties including Stripe (payments), OnlyFansAPI (tracking/conversions), Meta (advertising), Discord (community), Resend (email), and AI tooling such as Higgsfield. Your use of those services is also governed by their own terms, and we aren’t responsible for them. OnlyFans is a separate company not affiliated with or endorsing Noctis.

Account termination

We may suspend or terminate any account for fraud, terms violations (ours or any platform you use), non-payment, or at our discretion. On termination of an affiliate account, pending commissions tied to confirmed clean traffic are paid out; commissions tied to violating traffic are forfeit. Membership termination stops future access and renewals.

Intellectual property

The Noctis platform, brand, and code are ours. Creator likenesses and campaign assets belong to the respective advertiser. You receive a limited, revocable license to use campaign assets only as authorized to promote your tracking links, and you grant us a license to use content and marks you submit as needed to operate the platform.

DMCA & takedowns

We respect intellectual property rights. If you believe content on the platform infringes your rights, email partners@noctisnetwork.com with details and we’ll respond promptly.

No warranty

The platform is provided “as is” and “as available.” We don’t guarantee uptime, accuracy of tracking, third-party availability, or specific earnings, and we disclaim all implied warranties to the fullest extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Noctis is not liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability to you is capped at the greater of the amount you paid us (or we paid you) in the trailing 12 months, or $100.

Indemnification

You’ll defend and indemnify Noctis against claims, losses, and expenses arising from your content, your traffic, your use of the platform, or your violation of these terms or any third-party rights.

Governing law & disputes

These terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-laws rules. The courts located in British Columbia have jurisdiction, except where applicable law gives you the right to your local courts. Please contact us first — most issues are resolved informally.

Changes

We may update these terms. Material changes will be posted here and, where appropriate, emailed to your account address with at least 14 days’ notice. Continued use after changes take effect means you accept them.
